Services Are Scope-Based

All work is based on the selected package, approved quotation, invoice, proposal, or written agreement. Anything outside the agreed scope may be quoted separately.

Most projects require a deposit or upfront payment before work begins. Final delivery, launch, handover, or file release may be withheld until all outstanding payments are received.

By accessing this website, requesting a quote, approving a proposal, making a payment, submitting project information, or using any service provided by Digital Web Solutions, the client agrees to be bound by these Terms & Conditions.

If the client does not agree with these terms, they should not use our website, request services, approve work, or proceed with payment.

These Terms & Conditions apply to all services provided by Digital Web Solutions unless a separate written agreement is approved by both parties.

Digital Web Solutions provides digital services including, but not limited to, website design, website development, CMS-based website setup, website redesign, responsive website layouts, website maintenance, hosting support, content updates, marketing support, content direction, caption writing, hashtag guidance, Google Business Profile support, campaign planning, digital consultation, and add-on services.

All services are provided based on the selected package, approved quotation, invoice, proposal, or written agreement.

The exact services included will depend on what has been selected, quoted, approved, and paid for by the client.

Digital Web Solutions aims to keep this website available and accessible. However, we do not guarantee uninterrupted, error-free, or continuous access to the website.

Access to the website may be temporarily unavailable due to maintenance, updates, hosting issues, technical problems, security matters, third-party failures, or factors outside our control.

Digital Web Solutions will not be held responsible for any loss, inconvenience, or disruption caused by temporary website unavailability.

Our website or services may include links, tools, integrations, or access to third-party websites and platforms such as Google, WhatsApp, Meta, Instagram, TikTok, hosting providers, domain providers, payment providers, plugins, software, analytics tools, or other online services.

Digital Web Solutions does not control third-party platforms and is not responsible for their content, availability, policies, pricing, downtime, account restrictions, technical issues, service changes, or security incidents.

Clients use third-party websites, tools, integrations, and platforms at their own risk.

All prices shown on our website, documents, packages, social media, or marketing material are starting prices, price ranges, or estimated package prices unless clearly stated otherwise.

Final pricing depends on the client’s requirements, project size, number of pages, content volume, design complexity, functionality, revisions, timelines, third-party costs, and any additional services requested.

A quote, invoice, or proposal will be provided before work begins. Quotations are valid for the period stated on the quote. If no validity period is stated, the price may be subject to change before acceptance.

Digital Web Solutions may update package prices, service prices, and website prices at any time. Price changes will not affect projects already confirmed and invoiced unless the client requests additional work outside the original scope.

Most projects require a deposit or agreed upfront payment before work begins. Work will only start once the required payment has been received.

The remaining balance must be paid according to the agreed payment terms. Final delivery, website launch, file release, handover, access, or completion may be withheld until all outstanding payments have been received.

Monthly services such as maintenance, hosting support, CMS support, or marketing support must be paid according to the agreed billing cycle.

Late or missing payments may result in paused work, project delays, service suspension, website access restriction, hosting suspension, CMS access restriction, delayed launch, withheld files, or legal recovery action where necessary.

Digital Web Solutions is not responsible for delays, downtime, missed deadlines, or incomplete work caused by late or missing client payments.

Each project is based on the agreed scope of work, selected package, approved quotation, invoice, proposal, or written agreement.

Any work not included in the original scope will be treated as additional work and may be quoted separately.

Additional work may include, but is not limited to, extra pages, extra sections, new features, advanced functionality, redesign changes, additional revisions, copywriting, graphic design, image editing, video editing, marketing execution, paid advertising, social media management, SEO work beyond the initial setup, custom forms, popups, integrations, or major layout changes.

Digital Web Solutions will confirm additional costs before starting additional work.

The client is responsible for providing all required information, content, images, logos, brand details, business information, contact details, access details, feedback, approvals, and any other material required for the project.

The client must ensure that all information and content provided to Digital Web Solutions is accurate, lawful, and that they have permission to use it.

The client is responsible for reviewing work within reasonable timeframes and providing clear feedback.

Digital Web Solutions is not responsible for delays caused by missing content, late feedback, incorrect information, unavailable access details, delayed approvals, or changes in client requirements.

The client confirms that they own or have permission to use all logos, images, videos, text, documents, graphics, trademarks, brand assets, and any other content provided to Digital Web Solutions.

Digital Web Solutions will not be held responsible for copyright issues, legal claims, disputes, or damages relating to content supplied by the client.

The client remains responsible for ensuring that all content provided is accurate, lawful, and does not infringe on the rights of any third party.

Where stock images, icons, fonts, plugins, themes, software, or third-party assets are used, these may be subject to their own licence terms.

Website design includes the creation of the website layout, visual structure, section flow, design style, and overall appearance based on the selected package or approved quotation.

Website development includes building the website using the agreed platform, CMS, builder, hosting environment, or development method selected by Digital Web Solutions.

Unless clearly stated in the package or quotation, website design and development does not include full copywriting, logo design, brand identity design, professional photography, video editing, advanced marketing services, paid advertising, or custom functionality.

Only the pages, sections, features, and services listed in the selected package, quotation, invoice, or written agreement are included.

Any request outside the agreed scope is considered an additional service and may be quoted separately.

Website redesign services may apply to websites previously built by Digital Web Solutions or websites built by third parties.

A redesign may include visual updates, layout improvements, section restructuring, mobile optimisation, content flow improvements, call-to-action improvements, and general user experience improvements.

A redesign does not automatically include new pages, advanced functionality, full content rewriting, new branding, custom systems, marketing services, or major development work unless included in the approved quotation.

Pricing for redesigns depends on the size, condition, complexity, platform, content, and structure of the existing website.

If hosting or CMS management is purchased through Digital Web Solutions, the service may include website hosting through the selected platform, CMS access, platform management, basic uptime monitoring, and general hosting support.

Hosting does not include unlimited storage, guaranteed uptime, email hosting, ongoing content updates, advanced security services, or custom server-level access unless clearly stated.

Hosting is billed monthly unless otherwise agreed. Hosting must remain active for the website to stay online.

Failure to pay hosting, CMS, or related monthly fees may result in website suspension, CMS restriction, service interruption, or website removal after reasonable notice.

Digital Web Solutions is not responsible for downtime, price changes, restrictions, platform issues, or service interruptions caused by third-party hosting providers, CMS providers, plugins, domain providers, or external platforms.

Websites developed by Digital Web Solutions may be built using proprietary platforms, CMS systems, licensed software, managed hosting environments, builder platforms, reseller environments, third-party tools, or internal systems.

The client’s ownership of the final approved website does not include ownership of backend systems, CMS infrastructure, hosting infrastructure, builder platforms, software licences, platform master accounts, server-level credentials, reseller systems, development methods, or administrative systems controlled by Digital Web Solutions or third-party providers.

Access to hosting panels, platform master accounts, system-level credentials, backend infrastructure, or internal systems is not included as part of website ownership unless agreed in writing.

If services are cancelled or terminated, the client may request an export of available website content and media files where possible. Migration, rebuilding, transferring, or recreating the website on another platform is not included and may be quoted separately.

Website maintenance may include hosting support, security monitoring, backups, technical upkeep, minor text updates, image swaps, link updates, banner updates, performance checks, and general website support, depending on the selected maintenance plan.

Maintenance does not include new pages, full redesigns, new website sections, advanced features, custom functionality, major layout changes, full copywriting, graphic design, video editing, large content creation, or SEO work beyond the agreed setup unless quoted separately.

Maintenance plans are billed monthly unless otherwise agreed. If payment is not received, maintenance services may be paused or cancelled.

Maintenance is optional unless clearly included in a package, quotation, invoice, or written agreement.

After a website has been completed, approved, delivered, or launched, any additional work may be charged separately unless covered by an active maintenance plan.

Additional work may include adding or editing content, uploading images or galleries, creating new pages, adding new sections, changing layouts, redesigning sections, adding features, adding forms, adding popups, adding integrations, editing graphics, adding SEO changes beyond the initial setup, or making any changes outside the original scope.

Pricing for add-ons will be quoted per request or included under an active maintenance plan where applicable.

Marketing support may include content ideas, caption writing, hashtag guidance, content planning, campaign planning, Google Business Profile support, launch support, lead generation ideas, priority guidance, and performance review, depending on the selected marketing package.

Marketing support does not include daily posting, full social media management, paid ad spend, paid advertising management, graphic design for every post, video editing, full brand strategy, full campaign execution, influencer marketing, or full content production unless quoted separately.

Digital Web Solutions provides marketing direction and support, but the client remains responsible for approving content, using the guidance, implementing recommendations, and providing accurate business information.

Basic SEO setup or SEO guidance may be included in selected packages. However, Digital Web Solutions does not guarantee specific Google rankings, traffic results, search visibility, leads, enquiries, sales, followers, engagement, or revenue.

Marketing results depend on many factors outside our control, including audience behaviour, competition, budget, content quality, client implementation, platform algorithms, search engine updates, market demand, and third-party platform changes.

Website speed and performance may be affected by hosting, image sizes, plugins, third-party tools, internet connection, device type, browser type, platform limitations, and external services.

Revision rounds are limited to the number included in the selected package, quotation, invoice, or written agreement.

Revisions include reasonable changes to existing work, such as minor text updates, image swaps, layout adjustments, section refinements, and small design changes.

Revisions do not include full redesigns, new pages, new sections, new features, major layout changes, new content creation, new branding, or work outside the original scope.

When a client approves a design, website, content item, marketing plan, or completed work, that approval confirms that the client has reviewed and accepted the work.

Any changes requested after approval may be treated as additional work and may be quoted separately.

Project timelines are estimates and are provided in good faith. Timelines may vary depending on the project size, selected package, client feedback, content availability, revisions, payment status, technical requirements, and third-party services.

Digital Web Solutions will make reasonable efforts to complete work within the estimated timeline.

Delays may occur if the client does not provide content, feedback, payment, access details, approvals, or required information on time.

Digital Web Solutions is not liable for delays caused by factors outside our control, including third-party issues, hosting problems, domain issues, technical complications, platform downtime, client delays, or external service interruptions.

A website will only be launched, handed over, or made publicly available once the required payments have been received and the client has approved the final version.

After launch or handover, any changes not included in the original project or active maintenance plan may be quoted separately.

Digital Web Solutions is not responsible for issues caused by changes made by the client, third parties, hosting providers, domain providers, plugins, external tools, unauthorised access, or changes made after handover.

A client may request to cancel a project or service by giving written notice.

Deposits and upfront payments are used to secure project time, planning, administration, design preparation, development time, and initial work.

Refunds are not guaranteed once work has started. Any refund request will be reviewed based on the project stage, work completed, time spent, planning, administration, design work, development work, third-party costs, and non-refundable expenses already incurred.

If a client cancels after work has begun, the client may be charged for work already completed and costs already incurred.

No refunds will be issued for completed work, approved work, launched websites, delivered files, completed marketing support, completed maintenance services, or services already provided.

Monthly services may require written cancellation notice before the next billing cycle. Services already delivered or already used may not be refundable.

If a client becomes unresponsive, delays content, delays feedback, delays payment, or does not provide required information for an extended period, the project may be paused.

If a project remains inactive for more than 30 days due to client delays, Digital Web Solutions may reschedule the project based on availability.

If a project remains inactive for more than 60 days, it may be treated as abandoned. Restarting the project may require a new timeline, updated quote, restart fee, or revised project agreement.

Digital Web Solutions is not responsible for delays, missed deadlines, or changes in availability caused by abandoned or paused projects.

The client will own the final approved website content and final custom website design once full payment has been received, unless otherwise agreed in writing.

Until full payment is received, all unpaid work, draft designs, layouts, concepts, development work, and related materials remain the property of Digital Web Solutions.

The client retains ownership of client-provided content, including logos, images, text, documents, branding, and media supplied by the client.

Digital Web Solutions retains ownership of working files, rejected concepts, internal processes, strategy documents, templates, development methods, systems, tools, and any materials not included in the final approved handover.

Digital Web Solutions may reuse general knowledge, design methods, development techniques, layouts, systems, and non-confidential processes in future projects.

The name Digital Web Solutions, associated logos, brand identifiers, website content, graphics, layouts, documents, and marketing material may not be copied, reused, modified, distributed, or used in connection with any goods or services without written permission.

Unauthorised use of Digital Web Solutions branding, content, designs, or materials is strictly prohibited.

Digital Web Solutions may display completed work, screenshots, project previews, client names, website links, or case study information in its portfolio, website, social media, marketing material, or presentations unless the client requests otherwise in writing.

A small website credit may be placed in the footer of websites created by Digital Web Solutions unless agreed otherwise.

If the client provides login details, passwords, hosting access, domain access, website access, social media access, or third-party platform access, the client must ensure that the information is correct and shared securely.

Digital Web Solutions will take reasonable care when handling access details.

Clients are responsible for safeguarding their own passwords, accounts, website credentials, email accounts, social media accounts, and platform access.

Digital Web Solutions is not responsible for issues caused by incorrect access details, expired accounts, weak passwords, third-party breaches, unauthorised access, account restrictions, or changes made by others.

Digital Web Solutions may collect and process personal information such as names, contact details, business details, project information, access details, payment-related information, communication records, and website enquiry information for the purpose of providing services, managing projects, processing payments, communicating with clients, and meeting legal or administrative requirements.

Personal information will be handled with reasonable care and used only for legitimate business and service-related purposes.

Digital Web Solutions may share necessary information with third-party service providers where required to deliver a service, such as hosting providers, domain providers, website platforms, payment providers, email services, or marketing tools.

Clients are responsible for ensuring that any personal information they provide to Digital Web Solutions is accurate and lawfully shared.

More detailed privacy information should be provided in a separate Privacy Policy.

Both parties agree to keep confidential information private. Confidential information may include business information, project details, login details, pricing arrangements, marketing plans, technical information, client records, and any sensitive information shared during the project.

Confidential information will not be shared with third parties unless required for the service, approved by the client, or required by law.

This confidentiality obligation does not apply to information that is already public, independently known, or required to be disclosed by law.

Digital Web Solutions will provide services with reasonable care and skill. However, we are not liable for indirect losses, loss of income, loss of profit, loss of data, loss of business opportunities, loss of customers, platform downtime, third-party failures, search engine changes, social media changes, hosting issues, domain issues, plugin issues, cyber-attacks, client misuse, or results outside our control.

Where legally permitted, our maximum liability is limited to the amount paid by the client for the specific service that caused the issue.

Digital Web Solutions is not responsible for losses caused by third-party providers, client actions, unauthorised access, platform restrictions, external technical failures, or changes made after handover.

Clients and website users must not use our website or services for unlawful, abusive, harmful, misleading, fraudulent, or unauthorised purposes.

Digital Web Solutions does not work on websites, content, or campaigns that promote illegal activity, scams, hate speech, harmful content, misleading claims, stolen content, intellectual property infringement, or any content that may violate laws, platform rules, or third-party rights.

Digital Web Solutions reserves the right to refuse or stop work if requested content may harm our business, reputation, clients, third parties, or legal standing.

Communication may take place through WhatsApp, email, phone calls, online meetings, forms, or other agreed communication channels.

Clients are responsible for responding within a reasonable time to prevent project delays.

Important approvals, cancellation requests, major changes, payment-related communication, and scope changes should be provided in writing.

Digital Web Solutions is not responsible for delays caused by missed messages, late responses, unclear feedback, or unavailable client communication.

Digital Web Solutions reserves the right to refuse, pause, suspend, or stop work if a client is abusive, dishonest, provides misleading information, fails to make payment, refuses to provide required information, violates these terms, requests illegal content, or requests work that may harm our business, reputation, legal standing, or other clients.

Where possible, Digital Web Solutions will provide notice before stopping a service, unless immediate action is required due to non-payment, security concerns, unlawful activity, abuse, or risk to our business.

Digital Web Solutions may update these Terms & Conditions from time to time.

The latest version published on our website will apply to new enquiries, new projects, new invoices, and ongoing services unless otherwise agreed in writing.

Continued use of our website or services after updates are published means the client accepts the updated terms.

These Terms & Conditions are governed by the laws of the Republic of South Africa.

If any part of these terms is found to be invalid, unlawful, or unenforceable, the remaining sections will continue to apply as far as legally possible.
